1. Agreement to Terms

By accessing or using NextGenMe ("the Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and NextGenMe.

2. Description of Service

NextGenMe is an AI-powered coaching platform that provides:

• Personalized AI coaching and guidance
• Chat-based interactions with AI assistants
• Document analysis and support
• YouTube integration for content-based coaching
• Goal tracking and progress monitoring
• Voice command capabilities
• Calendar and scheduling features

3. Eligibility

You must be at least 16 years old to use NextGenMe. By using the Service, you represent and warrant that you meet this age requirement.

4. Account Registration

4.1 Account Creation

To use NextGenMe, you must create an account by providing:

• Valid email address
• Secure password
• Your name

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4.3 Account Accuracy

You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

5. Subscription Plans and Billing

5.1 Subscription Tiers

NextGenMe offers three subscription tiers:

• Essential: $29.95/month or $195/year
• Professional: $49.95/month or $445/year
• Premium: $99.95/month or $895/year

All plans include a 14-day free trial.

5.2 Payment Processing

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees.

5.3 Billing Cycle

• Monthly subscriptions renew automatically on the same day each month
• Annual subscriptions renew automatically after 12 months
• You will be notified before each renewal

5.4 Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Changes take effect immediately, and billing is prorated accordingly.

5.5 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial subscription periods
• 14-day free trial can be cancelled without charge during the trial period

5.6 Price Changes

We may change subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance.

6. YouTube Integration

6.1 YouTube API Services

NextGenMe uses YouTube API Services to enhance your coaching experience. By using YouTube features, you agree to be bound by the YouTube Terms of Service and the Google Privacy Policy.

6.2 Data Access

When you connect your YouTube account, we only access:

• Your YouTube subscriptions
• Public video metadata (titles, descriptions, channel names, thumbnails)

We do not access, import, or store watch history, liked videos, private playlists, any private data, or video/audio content.

6.3 Data Usage

We use this data solely to provide personalised coaching suggestions based on the channels you follow and the videos you select. All data remains private to your account.

6.4 Revoking Access

You can disconnect your YouTube account at any time via:

• NextGenMe → Settings → Media → "Disconnect"
• Your Google Account → Security → Third-party apps with account access

7. User Conduct

7.1 Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm others
• Use the Service to generate spam or misleading content
• Reverse engineer, decompile, or disassemble the Service
• Share your account with others
• Create multiple accounts to circumvent restrictions

7.2 Content Responsibility

You are solely responsible for the content you provide to the Service, including messages, documents, and voice recordings.

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, and functionality of NextGenMe, including but not limited to:

• Software, code, and algorithms
• Text, graphics, logos, and design
• AI models and training data
• Trademarks and branding

Are owned by NextGenMe and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of content you provide to the Service. By using the Service, you grant us a limited license to:

• Process your content to provide the Service
• Use anonymized, aggregated data to improve our AI models
• Store your content on our secure servers

8.3 AI-Generated Content

AI-generated responses are provided "as is" for informational purposes. You may use them in accordance with these Terms, but we retain no ownership claims to responses generated for you.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data in compliance with GDPR and other applicable laws.

Important: NextGenMe is an AI coaching tool, not a substitute for professional advice. Our AI does not provide:

10.3 Third-Party Services

We are not responsible for:

• Third-party services (YouTube, Stripe, etc.)
• External links or content
• Third-party terms, policies, or practices

You agree to indemnify, defend, and hold harmless NextGenMe, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Cancelling your subscription through Settings
• Contacting support at support@nextgenme.ai

13.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Fail to pay subscription fees
• Pose a security or legal risk

13.3 Effect of Termination

Upon termination:

• Your access to the Service will cease
• Your data will be deleted within 30 days (subject to legal requirements)
• You remain liable for any outstanding fees
• Provisions that should survive termination (e.g., indemnification, liability limitations) will continue

14. Modifications to Terms

We may modify these Terms at any time. We will notify you of significant changes via:

• Email to your registered address
• In-app notification
• Website announcement

Continued use after modifications constitutes acceptance. If you disagree with changes, you must stop using the Service.

15. Modifications to Service

We reserve the right to:

• Modify, suspend, or discontinue any feature
• Change subscription plans or pricing (with notice)
• Update AI models and capabilities
• Impose usage limits

16. Dispute Resolution

16.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@nextgenme.ai to attempt informal resolution.

16.2 Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

16.3 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except:

• Small claims court actions
• Intellectual property disputes
• Claims for injunctive relief

16.4 Class Action Waiver

You agree to resolve disputes individually. You waive the right to participate in class actions, class arbitrations, or representative actions.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NextGenMe.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
